Terms and Conditions
These terms and conditions (these “Terms”) apply to the use of websites owned, operated, or controlled by The Modern Marketing Institute (“MMI”, “Company”, “we”, “us”, or “our”) or any of its affiliates, including all courses, certifications, tools, calculators, content, community features, software, and related services (collectively, the “Services”) with the website located at www.modernmarketinginstitute.com (the “MMI Site”).
BY VISITING AND/OR USING THE MMI SITE IN ANY WAY, SUCH AS BROWSING COURSE OFFERINGS OR PLACING AN ORDER, YOU AGREE TO THESE TERMS. Please read these Terms carefully. If you do not wish to be bound by these Terms, do not access or use the MMI Site.
The Company
The Modern Marketing Institute is an educational platform operated by AdVenture Media Digital Marketing LLC, a United States–based company providing professional education in digital marketing, analytics, advertising, and related disciplines.
Change of Terms
Modern Marketing Institute may, at its sole discretion, revise or add new terms or conditions to these Terms from time to time without notice to you. Such revisions and additions shall be deemed effective immediately upon notice, which MMI may give by any means, including, without limitation, by posting the revised Terms on the MMI Site.
You are responsible for reviewing the MMI Site for any modifications to these Terms that may affect your rights or obligations. Any change or modification will be effective immediately upon posting of the revisions on the MMI Site. Any access or use by you of the MMI Site after changes to these Terms will constitute your acceptance of the revised terms. If you do not agree to the amended terms, you must stop using the MMI Site.
Eligibility
You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that:
- You are legally able to enter into this agreement.
- Your use complies with all applicable laws and regulations.
The Services are not directed to children under 13. We do not knowingly collect data from children (COPPA).
Accounts
Certain features of the Services require you to create an account. When setting up and maintaining your account, you must provide accurate and complete information and keep it updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account, whether authorized by you or not. If you believe your account has been compromised, you agree to notify us promptly. We reserve the right to suspend or terminate accounts that violate these Terms.
Purchases, Subscriptions, and Billing
All prices, billing intervals, access terms, and refund policies are disclosed at checkout and incorporated into these Terms by reference. Prices for Services are displayed at checkout and may include applicable taxes.
If you purchase a subscription, you authorize us and our payment processors to charge your payment method on a recurring basis until you cancel. You may cancel your subscription through your account settings or by contacting us, and cancellation generally stops future renewals while allowing access through the end of the current billing period, unless otherwise stated at the time of purchase.
We may change prices or features from time to time, and where required, we will provide notice before the changes take effect. Failure to pay may result in suspension or termination of access.
Certifications and Credentials
Any certifications, credentials, or designations issued by MMI:
- Represent completion of educational content only.
- Do not confer professional licensure or accreditation.
- May not be misrepresented as formal degrees or regulatory certifications.
MMI reserves the right to revoke certificates for misuse or misrepresentation.
License to Access Content (Content is Licensed, Not Sold)
MMI content, including videos, lessons, written materials, downloads, templates, calculators, tools, and other materials, is provided for educational use.
When you purchase or access content, you receive a limited, non-exclusive, non-transferable, revocable license to access and use that content through the Services for your personal, non-commercial educational purposes, subject to these Terms.
You may not share your account or provide access to others, and you may not copy, reproduce, distribute, publicly display, resell, rent, or sublicense content unless MMI explicitly authorizes it in writing. You also may not download, scrape, capture, or compile content to create a competing library or repository.
Intellectual Property
The Services and all MMI content are owned by MMI and/or its licensors and are protected by intellectual property laws. All rights not expressly granted to you are reserved.
“Modern Marketing Institute” and related names, logos, and marks are trademarks of MMI or its licensors.
You may not:
- Copy, reproduce, distribute, sell, sublicense, or share content.
- Create derivative or competing products.
- Use content outside of permitted personal or internal business use.
Unauthorized use may result in legal action.
Community and User Content
If you submit content to the Services, such as comments, reviews, questions, community posts, testimonials, or suggestions (“User Content”), you retain ownership of your User Content.
However, you grant MMI a worldwide, non-exclusive, royalty-free, perpetual, sublicensable license to host, store, reproduce, modify as necessary for formatting and display, distribute, and otherwise use your User Content to operate, provide, improve, and market the Services.
You represent and warrant that you have all rights necessary to submit the User Content and that it does not violate any law or third-party rights.
Additionally, if you participate in community features, you agree not to:
- Harass, abuse, or harm others.
- Post unlawful, misleading, or infringing content.
- Share proprietary or confidential materials.
- Misrepresent your identity or affiliation.
MMI reserves the right to moderate or remove content, or revoke access, at its discretion.
AI, Automation, and Tools
Some Services may include AI-assisted, automated, or algorithmic tools that generate recommendations, summaries, templates, drafts, analyses, or other outputs (“Outputs”).
You understand that Outputs are provided “as is” and are intended only to support—not replace—your decision-making, and that they may be inaccurate, incomplete, or not appropriate for your specific situation.
You are solely responsible for reviewing, verifying, and using appropriate human judgment before relying on any Output, including checking facts and ensuring compliance with applicable laws and platform policies.
MMI does not guarantee any particular results from AI or automation features and is not responsible for decisions, actions, or outcomes based on automated Outputs.
Third-Party Services and Integration
The Services may integrate or link to third-party platforms. MMI is not responsible for:
- Third-party content.
- Privacy practices.
- Service availability.
The use of third-party services is governed by their respective terms.
Disclaimer
The Services and content are provided for educational and informational purposes only, and we do not guarantee any particular results, including revenue, performance improvements, lead volume, return on ad spend, conversions, or business outcomes, because results depend on many factors outside our control.
The Services and content are provided on an “as is” and “as available” basis, and to the maximum extent permitted by law, we disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
None of the Services are legal, accounting, or tax advice.
Limitation of Liability
To the maximum extent permitted by law, MMI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services.
To the maximum extent permitted by law, MMI’s total liability for all claims will not exceed the amount you paid to MMI for the Services in the 12 months before the event giving rise to the claim.
Indemnification
You agree to defend, indemnify, and hold harmless MMI and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Services, your violation of these Terms, your User Content, or your violation of any law or third-party rights.
Termination
We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms, created risk, or engaged in misuse, and you agree that we are not required to provide access in such cases.
You may stop using the Services at any time.
Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution provisions, will survive.
Force Majeure
MMI will not be liable for any delay, interruption, or failure to perform any obligation under these Terms when such delay or failure is caused by events beyond MMI’s reasonable control (“Force Majeure”), including but not limited to acts of God, natural disasters, severe weather, fire, flood, earthquake, epidemics or pandemics, public health emergencies, war, terrorism, civil unrest, labor disputes or strikes, government orders or regulations, court orders, power outages, internet or telecommunications failures, hosting or cloud service disruptions, cyberattacks, or failures of third-party service providers.
During a Force Majeure event, MMI’s performance will be excused or suspended to the extent affected, and MMI will use reasonable efforts to resume performance as soon as practicable.
Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to the conflicts of law principles of such State.
Any dispute arising out of or relating to these Terms or the Services is subject to binding arbitration before a single arbitrator under the auspices of JAMS alternate dispute resolution services, to be held in the New York City offices of JAMS.
